4.2 Client Deliverables

Upon full payment for services rendered, Meta Painting grants you a perpetual, non-exclusive, non-transferable license to use the deliverables specifically created for you in connection with your project engagement. This license is limited to your internal business purposes and does not include the right to resell, sublicense, or redistribute our deliverables to third parties, unless expressly agreed in a separate written agreement.

Meta Painting retains ownership of all pre-existing materials, generic methodologies, know-how, tools, and frameworks incorporated into any deliverables. We also retain the right to use general skills, knowledge, experience, and techniques acquired during the course of any client engagement in our future work.

5. Client Obligations and Responsibilities

As a client of Meta Painting, you agree to the following obligations:

• Cooperation: Provide timely access to systems, personnel, documentation, and information reasonably required by Meta Painting to perform the services.
• Accuracy of Information: Ensure that all information, specifications, and requirements you provide are accurate, complete, and not misleading.
• Security Compliance: Maintain appropriate security measures on your systems and inform us promptly of any security incidents that may affect our services.

6. Fees, Payment, and Billing

6.1 Service Fees

Unless otherwise stated, all fees are denominated in United States Dollars (USD) and are exclusive of applicable taxes.

Late payments may be subject to interest charges at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower. Meta Painting reserves the right to suspend services if payment is not received within the agreed timeframe.

6.3 Expenses

Unless otherwise agreed in writing, you are responsible for reimbursing reasonable, pre-approved out-of-pocket expenses incurred by Meta Painting in connection with the performance of services, including travel, accommodation, and specialized software licensing fees.

7. Confidentiality

Both parties acknowledge that during the course of the business relationship, each may receive or have access to confidential information belonging to the other party. Confidential Information means any non-public information, technical data, or know-how, including but not limited to business plans, strategies, financial information, customer lists, trade secrets, source code, architecture designs, security configurations, and proprietary methodologies, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to:

• Use Confidential Information solely for the purpose of performing obligations or exercising rights under these Terms of Service and any applicable service agreement.
• Not disclose Confidential Information to any third party without the disclosing party's prior written consent, except to employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those contained herein.
• Protect Confidential Information using measures no less rigorous than those used to protect its own confidential information of similar sensitivity, and in no event less than reasonable care.

8. Limitation of Liability

To the maximum extent permitted by applicable law, meta painting company LLC and its officers, directors, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, business interruption, or damage to reputation, arising out of or in connection with these Terms of Service, the use of or inability to use our website or services, or any deliverables provided, regardless of the legal theory under which such damages are sought, including contract, tort, negligence, strict liability, or otherwise, even if Meta Painting has been advised of the possibility of such damages.

In no event shall Meta Painting's aggregate liability for all claims arising out of or relating to these Terms of Service or any services provided exceed the total amount of fees actually paid by you to Meta Painting during the twelve (12) month period immediately preceding the event giving rise to the claim. The existence of multiple claims shall not enlarge this limit.

3. Arbitration or Litigation: If mediation fails, the dispute may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, or, if the parties mutually agree, to the state or federal courts located in Utah County, Utah.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these Terms of Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
